Common questions
Still have a question? Our team is happy to help, at no charge and with no obligation to buy anything.
What is the difference between an employment contract and an employment agreement?
Nothing. They are one document under two names, and different employers ask for it by different ones.
Both pages exist because both terms are searched for, and both describe the same instrument setting out the full terms of employment.
When do I need an offer letter and when an appointment letter?
The offer letter comes first and is sent before the candidate has accepted. It states the role, the pay and the start date being offered.
The appointment letter follows acceptance and confirms the appointment on those terms. Sending only one of the two is common and leaves a gap: an offer with no confirmation, or a confirmation of something never formally offered.
What is the difference between the two NDAs?
Who is bound. The NDA for employees binds someone inside the business over what they learn while working there, and it sits alongside the employment documents.
The NDA for a third party binds someone outside it, for a specific conversation or engagement, and it is usually mutual.
Is a memorandum of understanding legally binding?
Usually not, and that is what it is for. An MoU records that two parties intend to work together and sets out the shape of it, before either is committed.
If you need the other side to be obliged rather than willing, the document you want is a contract: an independent contractor agreement, a service level agreement or a full commercial agreement, depending on what is being promised.
Can I download a template instead?
You can, and it is where a good number of disputes begin. A template carries the law and the commercial assumptions of wherever it was written, and the clauses that matter in a dispute are exactly the ones a generic document leaves vague.
The documents here are drafted against your situation, which is the difference between a document that describes an arrangement and one that holds when the arrangement breaks down.
Does India have a data privacy law my privacy policy has to follow?
Yes. The Digital Personal Data Protection Act, 2023 governs the handling of personal data in India, and a privacy policy written before it, or written to a generic international template, will not reflect what it requires.
If your website or app collects personal data from users in India, that is the statute the policy has to be built against.
Does a board resolution by itself convert a company into an LLP?
No. The resolution records the board’s decision to begin the process, and it is a step rather than the outcome.
The conversion takes effect under the Third Schedule to the LLP Act, and only when the Registrar issues the certificate of registration. Until then the company remains a company.
